Terms of Service for MyAreaa

Carefully read these terms of service.

This website and associated “Applications” are properties of JL13 Concepts Ltd and thus we retain the power of control, modification and update on all the contents and articles therein. These terms govern the use of this website and mobile App, and it is applicable to all users (in anyway and forms) and or visitors to the application environment. By clicking “I Agree” you have carefully reviewed, understood and accept these Terms and they become binding immediately on you as an individual or a representative of a group or an organization.

Welcome to MyAreaa, a financial application that facilitates community financial pooling service. 

Your experience on MyAreaa is unique: from contents, to stories, events, thrift corners and the opportunity to project and advertise your business, services and other content that you see in MyAreaa to the communities that you join and other features you might use, such as MyRaiseMe, MyLounge, AidLounges, MyBusiness, MyThrift, and so many more.

By using our application, you agree to be bound by these terms of service.

Legal Agreement

Acceptance to our terms: The acceptance of the terms and conditions is indicated by clicking "I agree" or a similar button or checkbox, or by using the Services. A formal signature is not required for these Terms to be legally binding. By registering for a Service and clicking "I agree," you express your consent to these Terms. These Terms also cover any embedded hyperlinks and related documents that refer to them. If you disagree with or cannot comply with these Terms, you are not permitted to use the Services. 

Changes to our terms: We reserve the right to update, change, or replace any part of the Services or these Terms. Any updates will be posted on our website, and it is your responsibility to check for changes. If you continue using the Services after changes have been made, it signifies your acceptance of those changes. 

International use: Accessing the Services in certain countries may not be lawful. We do not guarantee that the Services are appropriate or available for use outside of Canada and Nigeria. If you choose to access the Services from other countries, you do so at your own risk and are responsible for complying with relevant local, state, national, or international laws. The information provided on this website is not an offer or solicitation in jurisdictions where it is not legally permitted.

Definitions

In these terms of service, the following words have the following meanings:

“We”, “us”, “our” refer to MyAreaa, the owner and operator of the application.

“You”, “your” refer to the user of the application, either as an individual or as a representative of a group or organization.

“Apps” refers to the to MyAreaa mobile application and any related website, platform, or service.

“Service” refers to the community financial pooling service that we provide through the application, which allows you to create, join, and manage pools of financial contributions with other users for various purposes.

Eligibility and Registration

To use our service, you must be at least 18 years old and have the legal capacity to enter a binding contract.

You must register an account with us using your valid email address and a password. 

You are responsible for keeping your account information secure and accurate. 

You must not share your account with anyone else or use anyone else’s account without their permission.

You must comply with all applicable laws and regulations of Canada, the United States, Nigeria and any other country you are domiciled when using our service. 

You must not use our service for any illegal, fraudulent, or harmful purpose or activity.

Do not share your password, give access to your MyAreaa account to others, or transfer your account to anyone else.

You will be required to set up a 2-factor authentication to use the financial sensitive services and the 2-factor authentication may be provided in full or in part by a third-party agent. This 2-factor authentication factor may be temporary, and time bound or may require you logging into an authenticator app each time you need to perform a transaction.

 

Our Services

Our service allows you to create, join, and manage pools of money contributions with other users for various purposes, such as saving, investing, donating, aids, lending, or spending.

“MyCommunity” refers to a user created social space within the application with prospect of mutual financial cooperation amongst the members.

“MyCommunities” refers to the number of communities a user is a member of.

“Lounge” refers to specific sub-group of users who agree to contribute and share money for a common goal or cause through the application.

“MyRaiseMe” Refers to the specific active financial pool members are participating in at every given period.

“MyBusiness” your personal corner kiosk where you can bring alive all your imaginations for people to buy.

“MyThrift” Your space to sell your used items and materials.

“Content” refers to any information, data, text, images, videos, or other materials that you or other users upload, post, share, or transmit through the application.

You can invite other users to join your community and RaiseMe, or request to join other users’ communities and RaiseMes.

 You can also communicate with other users in your pool through the chat and content post functions.

You must agree on the terms and conditions of each community with the other users, such as the amount, frequency, and duration of the contributions, the types of lounges available in the communities and their purposes, the distribution and withdrawal of funds raised in lounges, and the resolution of disputes. 

We are not a party to any agreement between you and other users in your pool, and we are not responsible for enforcing or fulfilling any such agreement. You are solely responsible for your interactions and transactions with other users in your pool.

You must link a valid bank account, credit card, debit card, or other payment method to your account to contribute and withdraw money from your RaiseMe. You authorize us to initiate and process transactions on your behalf using your payment method. You are responsible for any fees, charges, or taxes that may apply to your transactions, such as bank fees, currency conversion fees, or transaction fees. 

We may charge a service fee for each transaction, which will be disclosed to you before you confirm the transaction. We may also change our service fee from time to time, and we will notify you of any such changes in advance.

We use third-party payment processors to facilitate and secure your transactions. We do not store or have access to your payment information, such as your card number or bank account number. 

You agree to comply with the terms and conditions of the payment processors when using our service. 

We are not liable for any errors, delays, or failures in the processing of your transactions by the payment processors.

We do not guarantee the availability, accuracy, completeness, or quality of our service at any given locations. 

We may modify, suspend, or terminate our service or in part at any time, for any reason, without notice or liability to you. 

We may also impose limits or restrictions on your use of our service, such as the number, size, or frequency of pools or transactions, at our sole discretion.

Membership and Accounts

To access our services, you must agree to register as member on MyAreaa platforms (app or websites)

Membership Tiers: if you agree to our terms of service, there are two tiers membership we offer to our users:

Free User: As a free user we offer all our services to you (as stated in “Our Services” with restrictions. These restrictions would be explained in the “Rules Below”. We hereby hold no obligation to indemnify free users in case of loss that may arise because of instructions issued on their membership accounts.

Premium Users: Premium users have more freedom within the terms of use of all our services (as stated in “Our Services” above). We hereby hold limited liabilities in indemnification. But we do refuse any liabilities resulting from instructions issued by their membership accounts.

Instructions and Prompts: you grant us the authority to execute any instructions and prompts you initiated, and we will do so as considering the electronic instructions and prompt as your thoughtful decision and it is legally binding on you as an account holder. You will bear full responsibility for any contents, misappropriation, loss or transactions that arise, from any instruction or prompt received from your membership account. We, however, reserve the right to refuse instructions or prompts we consider questionable or dubious. We are not liable for any consequences of refusing your instructions and prompts.

Account Security: you are responsible for the security of your account information security such as: usernames, passwords, 2 factor authentication applications embedded (to secure certain functions and functionalities) within the app, your devices (Phones, Tablets Pads, and Computers) and connectivity. We reject the liabilities that may arise from any loss that occurs as a result of mishandling, irregularities, misappropriations, leaks, negligence, loss, criminal attacks, identity theft, damages from above.

Account deactivation and termination of membership: you have the right to terminate your membership or deactivate your account with immediate effect except the following: you are involved in an active raise me Circle (you can only terminate membership at the end or completion of a raise me Circle you are involved in). Upon deactivation funds in AidLounge held by user would be used for charitable purposes determined by members of the AidLounge or Us

 

Contribution Rules

      RaiseMe Circles


     Composition:

RaiseMe Circle will start 5 days after the creation. This rule is standard for both free and premium users.

free tier: 4 to 12 participants

premium: 3 to 12 participants

Participation:

To participate you must be a registered user on the MyAreaa Platform.

A free user can only participate in 1 RaiseMe Circle at a time.

A premium user can participate in up to 5 RaiseMe Circles at a time.

What happens with the 5 days of commencement:

Swapping: participants can swap places and positions as arranged in the Circle. The swapping window will close 24 hours before the commencement of RaiseMe Circle.

Anniversary date: members of a raise me Circle must select their date of payment according to the positions this payment date is referred to as anniversary date. The window to select the anniversary date will close 24 hours to the commencement of the RaiseMe Circle.

          What is Premium Lockout?

          This is a situation when a premium account defaults on subscription payments

6. Content and Conduct

You are solely responsible for the content that you upload, post, share, or transmit through our service. You represent and warrant that you have the right and authority to use and share your content, and that your content does not violate any laws, regulations, or third-party rights, such as intellectual property rights, privacy rights, or contractual rights.

You grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, distribute, and display your content for the purpose of providing, improving, and promoting our service. 

You also grant us the right to use your name, likeness, and identity in connection with your content, unless you notify us otherwise in writing.

We do not monitor, review, or endorse any content that you or other users upload, post, share, or transmit through our service. We are not responsible or liable for any content or its accuracy, completeness, or quality. 

We reserve the right, but not the obligation, to remove, edit, or block any content that we deem to be in violation of these terms of service, or for any other reason, at our sole discretion.

We don't sell your personal data to advertisers, and we don't share information that directly identifies you (such as your name, email address or other contact information) with advertisers unless you give us specific permission.

To help support our community, we encourage you to report content or conduct that you believe violates your rights (including intellectual property rights) or our Terms and Policies, if this feature exists in your jurisdiction.

We also can remove or restrict access to content features, services or information if we determine that doing so is reasonably necessary to avoid or mitigate misuse of our services or adverse legal or regulatory impacts to MyAreaa.

You may not use our Products to do or share anything:

That violates these Terms, the Community Standards, or other terms and policies that apply to your use of our Products.

That is unlawful, misleading, discriminatory or fraudulent (or assists someone else in using our Products in such a way

That you do not own or have the necessary rights to share.

That infringes or violates someone else's rights, including their intellectual property rights (such as by infringing another's copyright or trademark, or distributing or selling counterfeit or pirated goods), unless an exception or limitation applies under applicable law.

You also must not: 

Run a multilevel or pyramid marketing scheme on our platform.

Organize a fundraiser with the intention to scam, defraud, illegal dispose, obtain or solicit dubiously from members on our platform.

Upload, post, share, or transmit any content that is unlawful, harmful, abusive, harassing, defamatory, libelous, slanderous, threatening, violent, hateful, discriminatory, obscene, pornographic, or otherwise objectionable or inappropriate. 

upload, post, share, or transmit any content that contains any viruses, malware, or other harmful or malicious code or content. 

upload, post, share, or transmit any content that is intended to deceive, mislead, or defraud us or other users, or that impersonates or falsely represents any person or entity.

access or collect data from our Products using automated means (without our prior permission) or attempt to access data you do not have permission to access.

proxy, request or collect Product usernames or passwords, or misappropriate access tokens.

sell, license or purchase any data obtained from us or our services.

use any reporting, flagging, dispute or appeals channel, such as by making fraudulent, duplicative or groundless reports or appeal.

We can remove or restrict access to content that is in violation of these provisions. We can also suspend or disable your account for conduct that violates these provisions.

If we remove content that you have shared in violation of the Community Standards, we'll let you know and explain any options you have to request another review, unless you seriously or repeatedly violate these Terms or if doing so may expose us or others to legal liability; harm our community of users; compromise or interfere with the integrity or operation of any of our services, systems or Products; where we are restricted due to technical limitations; or where we are prohibited from doing so for legal reasons.

Permissions for emails, push notifications and app utilities usage

By agreeing to these terms of service you hereby accept that you grant MyAreaa and all its third-party partners have access to send you mails on promos, notifications updates and or advertorials through the emails you submit to us. You also agree to grant us to send you push notifications directly on the device which you have chosen to install and use our services through our app. You are also consenting to grant our app access to necessary phone utilities that will aid the proper functionalities of our applications across the devices you wish to use them on. By sending us your email  address MyAreaa and those third-party service providers acting on MyAreaa’s behalf, may send you certain confidential information through the same e-mail address such as; account registration information, information with regard to the Services, in the case of fraud/suspected fraud inquiries, dispute resolutions, collections, or any other action related to providing these Services to you not regarding your location at any time and period your account remains valid.

Intellectual Property Rights

We own and retain all rights, title, and interest in and to our service and its content, features, and functionality, including but not limited to the application, the website, the platform, the service, the name, the logo, the design, the software, the code, the data, and the trademarks, trade names, service marks, and logos of MyAreaa, whether registered or not. 

Nothing in these terms of service grants you any right, title, or interest in or to our service or its content, features, and functionality, except as expressly stated herein.

You must not copy, modify, distribute, sell, lease, rent, sublicense, or otherwise exploit our service or its content, features, or functionality, in whole or in part, without our prior written consent.

 You must not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or structure of our service or its content, features, or functionality, or any part thereof. 

You must not interfere with or disrupt the operation or security of our service or its content, features, or functionality, or any part thereof.

You retain certain rights as stated below:

You retain ownership of the intellectual property rights (things such as copyright or trademarks) in any such content that you create and share on MyAreaa and other JL 13 Concepts Products that you use. Nothing in these Terms takes away the rights you have to your content. You are free to share your content with anyone else, wherever you want.

You can delete individual content you share, post, and upload at any time. In addition, all content posted to your personal account will be deleted if you delete your account. Account deletion does not automatically delete content that you post as a member of a community or content that you create collectively with other users, such as photos in Shared Albums that may continue to be visible to other album members.

Content will not be deleted in the following situations:

Where your content has been used by others in accordance with this license, and they have not deleted it (in which case this license will continue to apply until that content is deleted)

Where deletion within stipulated days is not possible due to technical limitations of our systems, in which case, we will complete the deletion as soon as technically feasible or

Where immediate deletion would restrict our ability to:

Investigate or identify illegal activity or breaches of our Terms and Policies (for example, to identify or investigate misuse of our Products or systems)

protect the safety, integrity and security of our Products, systems, services, our employees and users, and to defend ourselves.

comply with legal obligations for the preservation of evidence, including data that Companies providing financial products and services preserve to comply with any record-keeping obligations required by law; or

comply with a request of a judicial or administrative authority, law enforcement or a government agency; in which case, the content will be retained for no longer than is necessary for the purposes for which it has been retained (the exact duration will vary on a case-by-case basis).

In each of the above cases, this license will continue until the content has been fully deleted.

Disclaimer of Warranties

Our service and its content, features, and functionality are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. 

We do not warrant that our service or its content, features, or functionality will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that they will meet your expectations or requirements. 

We do not warrant that any results, outcomes, or benefits will be obtained from the use of our service or its content, features, or functionality.

You acknowledge and agree that your use of our service and its content, features, and functionality is at your own risk and discretion, and that you are solely responsible for any damages, losses, liabilities, or expenses that may result from your use of our service or its content, features, or functionality, or from any transactions or interactions with other users or third parties through our service or its content, features, or functionality.

Limitation of Liability

To the fullest extent permitted by laws of Canada, the United States and Nigeria, we and our affiliates, directors, officers, employees, agents, contractors, licensors, and partners will not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, losses, liabilities, or expenses, arising out of or in connection with your use of or inability to use our service or its content, features, or functionality, or any transactions or interactions with other users or third parties through our service or its content, features, or functionality, whether based on contract, tort, negligence, strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages, losses, liabilities, or expenses. 

We also exclude ourselves from the liabilities or loss that may arise from the following:

In the event of wrong, delayed or inconsistent transaction alert messages.

In the event of malfunction of the app and its components.

In the event of failed or canceled transactions

Because of the loss of your device.

Failure to protect your account information.

Mishandling, irregularities, misappropriations, leaks, negligence, criminal attacks, identity theft, damages, malware and hacking of your device and information.

In the event of wrong instruction from your account.

Cancelation or refusal to act on instructions from your account.

Failed handshake with a third-party app.

Discontinuation of a feature or service with or without prior notice or notifications

Delayed transactions.

Default of other members of your RaiseMe Circle.

Regulatory and Statutory restrictions and embargoes.

 

 

Privacy Policy

This Privacy Policy describes how we collect, use, and disclose your personal information when you use MyAreaa app ("the App"). By using the App, you consent to the collection and processing of your personal information as described in this policy.

Financial Information: To provide our services, we may collect financial information such as bank account details, credit card information, transaction history, and investment preferences.

Providing our Services: To provide you with the services offered by MyAreaa, including Creating a membership account, processing transactions, managing and generating transaction reports.

Processing Transactions: we may share your data with our partners who act as processors of our financial transactions and 2 factor authentication service providers.

Improving the App: To analyze usage patterns, troubleshoot issues, and enhance the functionality and user experience of the App.

Communications: To communicate with you about updates, new features, promotions, and other relevant information related to the App.

Legal Compliance: To comply with applicable laws, regulations, and legal processes, and to protect our rights, privacy, safety, and property. 

Information Sharing and Disclosure: We may share your personal information with third parties in the following circumstances:

Service Providers: We may engage trusted third-party service providers to assist us in delivering our services, such as payment processors, data analytics providers, and customer support services. These providers are authorized to use your personal information only as necessary to provide the requested services.
