MyAreaa Inc. — Terms of Service

Effective Date: April 1, 2026 | Version 2.0

Please read these Terms of Service carefully before you use MyAreaa. By creating an account or clicking “I Agree,” you accept these terms and enter into a binding agreement with MyAreaa Inc. If you do not agree, do not use the platform.

1. About MyAreaa and This Agreement

MyAreaa is a regulated community financial platform that gives communities the tools to pool resources, govern shared finances, and build collective wealth. The platform is owned and operated by MyAreaa Inc. (“MyAreaa,” “we,” “us,” or “our”), a federally incorporated Canadian company and a wholly owned subsidiary of JL13 Concepts Inc., headquartered in Calgary, Alberta, Canada.

MyAreaa Inc. holds the following regulatory registrations, which govern how we operate:

These registrations impose obligations on us and on you as a user, including identity verification, transaction monitoring, and regulatory reporting. This Terms of Service, together with our Privacy Policy, Schedule A (Fee and Limit Schedule), and any community-specific rules you agree to, form the complete agreement between you and MyAreaa.

2. Geographic Scope and Financial Service Availability

MyAreaa’s community and social features are available globally. However, financial services — including the Community Wallet, RaiseMe circles, AidLounge financial contributions, and any payment transaction features — are currently available exclusively to users located in Canada and holding Canadian bank accounts.

If you are accessing MyAreaa from outside Canada, you may use non-financial features of the platform but you will not be able to initiate or receive financial transactions until we extend services to your jurisdiction. We make no representation that financial services will be available in any particular country or at any particular time.

Accessing the platform from any jurisdiction is your responsibility. You must comply with all laws that apply to you in your location.

3. Eligibility and Registration

To use MyAreaa, you must:

To access financial features, you will also need to complete identity verification (KYC) and link a valid Canadian bank account. These steps may be fulfilled in part by our third-party verification and payment partners. By completing KYC, you consent to the checks required under our FINTRAC obligations.

4. Anti-Money Laundering and Know-Your-Customer Obligations

As a registered MSB and PSP, MyAreaa is legally required to verify your identity before enabling financial transactions, monitor transactions for suspicious activity, and report certain transactions to FINTRAC as required by the PCMLTFA. This includes large cash transactions, suspicious transactions, and transactions linked to terrorist financing.

We reserve the right to freeze, delay, or report any transaction that we reasonably believe may violate applicable law. We will not be liable to you for any consequences of acting in good faith under our regulatory obligations.

5. Our Services

MyAreaa provides a regulated platform on which communities can:

We are a platform provider, not a party to any financial arrangement between community members. We do not manage, advise on, or guarantee any community’s financial activities. The platform tools are provided to enable communities to govern themselves; how a community uses those tools is the community’s responsibility.

5.1 Payment Processing

Financial transactions on MyAreaa are processed through AptPay Inc., our licensed payment rail partner, using Electronic Funds Transfer (EFT) and Interac e-Transfer. User funds are held in a custodial account structure maintained by AptPay, not by MyAreaa directly. MyAreaa does not hold end-user funds on its own balance sheet.

By initiating a transaction, you authorize MyAreaa and AptPay to process that transaction on your behalf. You are responsible for ensuring sufficient funds are available in your linked account. Transaction fees are set out in Schedule A and may be updated with advance notice to you.

We are not liable for errors, delays, or failures caused by your bank, AptPay, Interac, or any other third-party payment infrastructure, provided we have acted in good faith in initiating the transaction.

6. Community Governance and Member Rights

MyAreaa is built on the principle that communities should govern themselves. The platform provides two governance models:

6.1 Fully Democratized Communities

In a fully democratized community, all financial decisions require a vote of the members. A simple majority governs unless the community sets a higher threshold. MyAreaa’s platform tools record and execute the outcome of votes but play no role in deciding how members vote or what the community decides.

6.2 Admin-Managed Communities

In an admin-managed community, members voluntarily delegate financial decision-making authority to one or more designated administrators. This model is suited to organized groups such as cooperative societies, faith organizations, and student associations that have established governance structures.

By joining an admin-managed community, you acknowledge that you have reviewed and accepted the community’s governance rules and any bylaws the administrators have established. MyAreaa is not a party to those rules and does not endorse, review, or take responsibility for any governance decision made within a community.

6.3 Member Removal

Community members and administrators have the right to vote to remove a member who violates community rules or disrupts the community. MyAreaa provides the voting mechanism as a platform feature. We do not initiate, influence, or adjudicate member removal decisions. If a removal vote passes, MyAreaa will implement the outcome through the platform.

A removed member retains the right to receive any funds owed to them under an active RaiseMe circle at the time of removal, subject to community rules and applicable law.

6.4 MyAreaa’s Platform-Only Role

MyAreaa provides infrastructure. We do not participate in community governance, community activities, or any decisions about how a community organizes itself beyond what is required to operate a compliant, regulated payment platform. We are not a cooperative, an association, a trustee, or a co-operator of any community on our platform.

7. Membership Tiers and Fees

MyAreaa offers two membership tiers. Features and limits for each tier are set out in Schedule A, which forms part of this agreement. We reserve the right to update Schedule A with 30 days’ notice to you. Continued use of the platform after the notice period constitutes acceptance of the updated schedule.

7.1 Free Membership

Free members have access to a defined set of platform features with usage limits as described in Schedule A. Free membership is provided without any guarantee of uninterrupted service, and we reserve the right to modify or discontinue features available at the free tier.

7.2 Premium Membership

Premium members pay a monthly subscription fee as set out in Schedule A and receive access to expanded features and higher transaction limits. Premium membership does not constitute a guarantee of investment returns, fund performance, or member participation in any community financial arrangement.

Neither free nor premium membership entitles a user to indemnification by MyAreaa for losses arising from their own instructions, decisions, or the actions of other community members.

8. RaiseMe Circles — Specific Rules

RaiseMe circles are structured financial contribution arrangements organized by members. A circle begins 5 days after creation. Participation, contribution amounts, frequency, payout order, and swapping rules are governed by the circle’s own terms, which members set when creating the circle.

MyAreaa facilitates the circle mechanics through the platform. We do not guarantee:

If a member defaults on a contribution, the platform will reflect that default and notify other circle members. How the circle resolves a default is a matter for the members to decide according to their circle rules. MyAreaa will not intervene in default resolution between members. A default will be recorded on the defaulting member’s profile and may negatively affect their Trust Index, calculated automatically as described in Section 9.

You may not withdraw from an active RaiseMe circle until it completes or until all members agree to an early dissolution. Funds held in the Community Wallet for an active circle are subject to AML reporting obligations.

9. Trust Index

The Trust Index is a credibility metric assigned to your profile based on your activity on the platform, including your contribution history, community interactions, and the reactions of other members to your content. It is a platform feature, not a credit score, and is not reported to any credit bureau unless you have separately opted into our Credit Reporting/Building add-on. All members can access a free credit file monitoring service through the platform, provided by a third-party credit monitoring partner that lets you view your own credit score and report. Maintaining a healthy credit profile, such as a consistent record of on-time contributions, may also have a positive effect on your Trust Index.

Your Trust Index score may affect your visibility within communities and your eligibility for certain premium features. MyAreaa calculates Trust Index scores algorithmically. If you believe your score reflects an error, you may contact us at [email protected] to request a review. We will respond within 30 days.

10. Content and Conduct

You are responsible for everything you post, share, or transmit on MyAreaa. You confirm that you have the right to share any content you upload and that your content does not violate any law or third-party right.

You must not use the platform to:

We may remove content, restrict access, or suspend accounts that violate these rules. Where we remove your content, we will notify you unless doing so would create legal risk, harm other users, or interfere with an ongoing investigation.

10.1 Content License to MyAreaa

By posting content on MyAreaa, you grant us a limited, non-exclusive, royalty-free license to display, store, and transmit that content solely for the purpose of operating and improving the platform. This license ends when you delete the content or close your account, except where deletion is not technically feasible or where we are required by law to retain the content. We do not use your content for advertising to third parties without your explicit consent.

You retain ownership of your content at all times.

11. Commercial Communications and Consent

MyAreaa complies with Canada’s Anti-Spam Legislation (CASL). We will send you transactional messages, such as account confirmations, transaction alerts, and security notices — as a necessary part of providing our services. These messages are not commercial in nature and do not require separate opt-in.

We will send you marketing or promotional messages only if you provide express consent, either through a separate opt-in during registration or through your account notification settings. You may withdraw consent at any time by adjusting your settings or clicking “Unsubscribe” in any marketing email. Withdrawal of marketing consent does not affect transactional communications.

12. Intellectual Property

MyAreaa owns all rights in the platform, including its software, design, name, logo, and all proprietary features. Nothing in these terms transfers any ownership interest in the platform to you.

You retain ownership of the intellectual property in content you create and share on MyAreaa. You are free to share your content elsewhere. Deleting your account will delete your personal content from the platform, subject to the technical and legal limitations described in Section 10.1 above.

13. Disclaimer of Warranties

MyAreaa provides the platform on an “as is” and “as available” basis. We do not guarantee that the platform will be uninterrupted, error-free, or free from technical issues. We do not guarantee the financial outcome of any community arrangement, RaiseMe circle, or other financial activity conducted through the platform.

Using MyAreaa does not replace professional financial, legal, or investment advice. You use the platform at your own risk.

14. Limitation of Liability

To the fullest extent permitted by Canadian law, MyAreaa, its directors, officers, employees, agents, and partners will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform.

Specifically, we are not liable for:

Our total liability to you for any claim arising from your use of the platform will not exceed the total fees you have paid to MyAreaa in the 12 months before the claim arose.

15. Account Deactivation and Termination

You may deactivate your account at any time, subject to the following:

MyAreaa may suspend or terminate your account if you violate these terms, if we are required to do so by law or a regulator, or if your account poses a risk to the platform or other users. We will notify you of termination unless doing so is legally prohibited or operationally impractical.

16. Dispute Resolution and Governing Law

These terms are governed by the laws of the Province of Alberta and the laws of Canada applicable in Alberta, without regard to conflict of law principles.

If you have a dispute with MyAreaa, please contact us first at [email protected]. We will make a genuine effort to resolve the issue directly. If we cannot resolve it within 30 days, either party may pursue the matter through the courts of Alberta, which will have exclusive jurisdiction over any dispute arising from these terms.

You have two years from the date you knew or ought to have known about a potential claim to bring that claim against MyAreaa, after which the claim is extinguished.

17. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes at least 30 days before they take effect, by email or in-app notification. If you continue using the platform after the changes take effect, you accept the updated terms. If you disagree with a change, you may deactivate your account before the change takes effect.

Schedule A — Fee and Limit Schedule

This schedule forms part of the MyAreaa Terms of Service. It may be updated independently with 30 days’ notice. The version in effect at the time of any transaction governs that transaction.
